These Terms & Conditions (“Terms”) govern the use of services provided by Apex Growth Partner LLC (“Company,” “we,” “us,” or “our”). By accessing this website, purchasing services, signing a proposal, or submitting payment, you (“Client,” “you”) agree to these Terms.

1. Services Provided

Apex Growth Partner LLC provides digital marketing and advertising services, including but not limited to:

-Meta advertising (Facebook & Instagram) management

-Google Ads management

-Creative strategy and ad copy

-Campaign optimization and scaling

-Lead generation and marketing consulting

-Specific deliverables and scope are defined in proposals, invoices, or onboarding documents.

2. Advertising Framework & Performance Expectations

Apex Growth Partner LLC primarily uses Meta advertising (Facebook & Instagram) as the core channel for client acquisition and brand growth. Additional platforms may be tested when data supports expansion.

Month 1 — Setup, Testing & Optimization

-Campaign structure and setup

-Pixel and conversion tracking

-Creative testing

-Audience testing

-Funnel and offer review

-Performance optimization

This phase focuses on learning and data collection.

Month 2 — Scaling

-Budget increases on winning campaigns

-Expansion of top-performing audiences

-Creative iteration

-Retargeting improvements

Month 3+ — Expansion

If performance supports growth, campaigns may expand to:

-Google Ads

-YouTube

-TikTok

-Display remarketing

3. Results Disclaimer

Digital advertising requires testing and optimization.

Performance depends on:

-Offer strength

-Market demand

-Competition

-Budget

-Sales process

Apex Growth Partner LLC provides strategy and execution. Results are not guaranteed, including but not limited to:

-Sales

-Leads

-Revenue

-ROAS

-Cost-per-acquisition

4. Minimum Commitment

-Clients agree to a minimum engagement of two (2) billing cycles before cancellation. This allows sufficient time for setup, testing, optimization, and performance analysis.

5. Fees & Payment Terms

-Services operate on a monthly recurring basis unless stated otherwise.

-Payments are due in advance of each billing cycle.

-Fees are non-refundable once services begin.

-Late or missed payments may result in paused services.

-Client is responsible for all advertising spend, platform fees, and campaign-related costs.

6. Chargeback & Payment Disputes

By submitting payment, Client agrees not to initiate chargebacks or payment disputes for services rendered.

If a chargeback occurs:

-Services may be suspended immediately

-This agreement may be submitted as evidence

-Client is responsible for outstanding balances and dispute-related costs

7. Client Responsibilities

Client agrees to:

-Provide access to advertising accounts and platforms

-Provide assets, approvals, and required business information

-Maintain a functioning product/service and sales process

-Ensure all claims comply with advertising laws and regulations

-Delays in approvals or missing assets may affect performance timelines.

8. Advertising Account Ownership & Liability

Client retains ownership and responsibility for:

-Ad accounts

-Billing profiles

-Pixels and data

-Business Manager assets

Apex Growth Partner LLC is not liable for:

-Account suspensions

-Disabled ad accounts

-Ad disapprovals

-Platform penalties

-Algorithm or policy changes

9. Third-Party Platforms

Services rely on third-party platforms including Meta and Google.

Apex Growth Partner LLC is not responsible for:

-Platform outages

-Policy updates

-Delivery issues

-Ad performance changes caused by platform behavior

10. Intellectual Property

All marketing strategies, ad creatives, copy, and systems remain property of Apex Growth Partner LLC until paid in full.

Upon payment:

-Client receives usage rights for business purposes.

-Company may use anonymized campaign data and results for marketing and portfolio purposes.

11. Confidentiality

Both parties agree to protect confidential business, financial, and marketing information shared during the engagement.

12. Limitation of Liability

Apex Growth Partner LLC shall not be liable for:

-Loss of revenue or profits

-Business interruption

-Advertising performance outcomes

-Platform bans or account restrictions

-Indirect or consequential damages

Maximum liability is limited to fees paid to Apex Growth Partner LLC within the previous 30 days.

13. Indemnification

Client agrees to indemnify and hold Apex Growth Partner LLC harmless from claims arising from:

-Product or service claims

-Advertising claims

-Copyright or trademark violations

-Regulatory or legal issues related to Client’s business

14. Termination

Either party may terminate services with written notice prior to the next billing cycle.

Outstanding balances remain due

No refunds for services already performed

15. Governing Law

These Terms are governed by the laws of the State of California.

Any disputes shall be handled within California jurisdiction.

16. Acceptance

By working with Apex Growth Partner LLC, signing an agreement, or submitting payment, Client acknowledges they have read and agree to these Terms & Conditions.

-Appointment reminders

-Onboarding updates

-Campaign performance notifications

-Account and billing notifications

-Service-related announcements

Opt-Out Instructions
